Terms of service
These are the terms for using LatchPay as a merchant. They are written to be read, not skimmed. Last updated 26 September 2026.
This is a draft. It reflects how LatchPay actually works, but it has not yet been reviewed by a lawyer. It will be before LatchPay opens to merchants outside the pilot.
1. What LatchPay is
LatchPay is a hosted checkout for Shopify stores. It replaces the checkout page and the card charge; the card is charged through your own Whop business. Products, orders, customers, shipping, tax and fulfilment stay in Shopify. LatchPay is operated from the Netherlands.
2. Your account
You sign in with your Whop account. To use LatchPay you need an active LatchPay membership on Whop, a Whop business you administer, and a Shopify store you are entitled to connect. You are responsible for those accounts, for the people you give access to them, and for keeping the credentials you paste into LatchPay confidential. LatchPay never asks for a Shopify or Whop password.
3. Subscription and plans
The LatchPay membership comes in two plans: Starter at €100 per 30 days with a 0.5% usage fee, and Scale at €299 per 30 days with a 0.25% usage fee. You choose either one; LatchPay never moves you to a different plan on its own. The membership is bought and renewed on Whop under Whop's terms, and switching between plans also happens on Whop. Your plan is the highest one with an active membership, and a new rate applies from the next weekly fee run.
The membership is the switch that keeps the checkout running: when it lapses or is cancelled, LatchPay stops creating checkouts and buyers use Shopify's own checkout again. You can cancel the membership on Whop at any time; it runs to the end of the paid period.
4. The usage fee
LatchPay charges your plan's rate (0.5% on Starter, 0.25% on Scale) of paid store revenue minus refunds, billed separately to the card on your LatchPay membership as a Whop payment, in your store's currency, on a weekly schedule. The fee is never taken out of your store payments. How it accrues, the minimum, and what happens on a refund or a failed charge are described on the Fees page, which is part of these terms. If a fee charge fails, checkouts pause until it succeeds.
5. No refunds of fees
Membership payments and fee charges are not refunded for partial periods or for time you did not use LatchPay, unless the law where you live requires it. A refund you make to a buyer on Whop does credit the usage fee already billed for that order.
6. Money
LatchPay never holds your money. Store payments are created on your own Whop business, and payouts, refunds and disputes are handled there under Whop's terms and fees. Shopify may charge third-party transaction fees when your store does not use Shopify Payments; those are Shopify's fees and are between you and Shopify.
7. Your responsibilities
You are responsible for what you sell, for your prices, taxes, shipping, refunds and customer service, for complying with Shopify's and Whop's terms, and for the laws that apply to your store. You will not use LatchPay for anything Whop or Shopify prohibit, or to sell anything you are not allowed to sell.
8. What LatchPay does and does not promise
LatchPay is provided as is. We make reasonable efforts to keep it running, to quote carts correctly from Shopify and to write paid orders back, but we do not promise uninterrupted service, and Shopify and Whop can change their platforms in ways we cannot control. Some things are known limits and are listed on the site: Shop Pay and the express buttons are hidden while LatchPay is on, checkout apps that inject into Shopify's checkout do not run, and Shopify may add transaction fees.
To the extent the law allows, LatchPay is not liable for indirect losses such as lost sales or profits, and our total liability for any claim is limited to the membership fees you paid in the three months before the claim arose.
9. Ending the service
You can stop at any time: switch the checkout off in Settings, disconnect Shopify and Whop, and cancel the membership on Whop. We can suspend or end your access if these terms are broken, if a fee cannot be collected, or if we discontinue LatchPay, in which case we will give reasonable notice where we can. Sections 5, 6 and 8 survive the end of the agreement.
10. Changes
We may update these terms. Material changes are announced in the dashboard or by email before they take effect. Continuing to use LatchPay after that date means you accept the new terms.
11. Governing law
These terms are governed by the laws of the Netherlands. Disputes are brought before the competent court in the Netherlands, unless mandatory consumer law where you live says otherwise.
